1.3 In these terms, “we”, “us” and “our” mean VentureDocs Investment Management Limited trading as VentureDocs. “You” and “your” mean the person or organisation buying or using our services.
1.4 You can contact us by email at info@venturedocs.co.uk or by using the contact form on our website.
1.5 VentureDocs Investment Management Limited is not authorised or regulated by the Financial Conduct Authority.
2. These terms
2.1 These terms apply to every purchase of credits and every use of our services. Please read them before buying. You will be asked to confirm that you accept them at checkout.
2.2 Some parts of these terms apply differently depending on whether you are a consumer or a business customer:
(a) you are a “consumer” if you are an individual acting wholly or mainly outside your trade, business, craft or profession;
(b) you are a “business customer” if you are acting for purposes relating to your trade, business, craft or profession, including as a sole trader, company, partnership, charity, educational institution or other organisation.
2.3 Where a clause applies only to consumers or only to business customers, it says so.
2.4 We recommend you keep a copy of these terms for future reference.
3. Eligibility
3.1 You must be at least 18 years old to buy credits or use our services.
3.2 If you are under 18, a parent, guardian or educational institution may buy credits on your behalf and is responsible for your use of the services under these terms.
3.3 If you are buying on behalf of an organisation, you confirm that you are authorised to accept these terms on its behalf.
4. Our services
4.1 VentureDocs provides an automated service that produces business and fundraising documents, such as business plans, from information you provide. Information is gathered through a structured interview conducted by an artificial intelligence voice agent, together with any forms you complete.
4.2 Documents are generated using artificial intelligence. They are not prepared, reviewed or checked by a person before delivery to you.
4.3 We provide the services with reasonable care and skill. Because documents are generated automatically from the information you provide, we do not guarantee that any document will be accurate, complete, free from errors, or suitable for any particular purpose, investor, lender or transaction.
4.4 Descriptions of the services on our website are for general information. Articles, guides and other content on our website are general information only and are not advice.
5. No regulated activity, advice or financial promotion
5.1 We do not carry on any activity regulated by the Financial Conduct Authority. Nothing we provide is investment, financial, legal, tax, accounting or other professional advice, and nothing we provide is a recommendation to do or not do anything.
5.2 We do not arrange, advise on or facilitate any investment, loan, fundraising or other transaction, and we do not introduce you to investors or lenders.
5.3 We do not communicate, approve or take responsibility for any financial promotion. If you share any document with any other person, you are solely responsible for ensuring that doing so complies with all applicable laws and regulations, including section 21 of the Financial Services and Markets Act 2000 where it applies.
5.4 You should take your own independent professional advice before using any document in connection with raising finance or any other transaction.
6. Your responsibilities
6.1 You must ensure that all information you provide to us is accurate, complete and not misleading, and that you have the right to provide it.
6.2 You must review every document carefully and verify its content before using, relying on or sharing it with anyone. You are responsible for all content in any document you use or share, including any changes you make to it.
6.3 You must not use our services, or any document, for any unlawful, fraudulent or misleading purpose.
6.4 You must keep your account login details secure and are responsible for activity on your account.
7. Credits and pricing
7.1 Our services are paid for using prepaid credits. Credits are bought in packs at the prices shown on our website at the time of purchase.
7.2 Prices shown to consumers include VAT. Where prices are shown excluding VAT for business customers, VAT will be added at checkout at the applicable rate.
7.3 The number of credits required for each document is shown on our website before you redeem credits. Where a credit cost would otherwise include a fraction, it is rounded up to the nearest whole credit.
7.4 Credits expire 12 months after the date of purchase. Expired credits cannot be used, refunded or reinstated.
7.5 Credits have no cash value, cannot be transferred to another account and cannot be exchanged for money, except as set out in clause 8.
7.6 When you redeem credits for a document, those credits are used when the service for that document begins.
8. Your right to cancel (consumers only)
8.1 If you are a consumer, you have a legal right to cancel your purchase of credits within 14 days of the day after your purchase, without giving a reason.
8.2 Your right to cancel applies only to credits that have not been redeemed. If you cancel, we will refund the price you paid for any unredeemed credits from that purchase.
8.3 When you redeem credits for a document, you will be asked to confirm that you want the service to begin immediately and that you understand you will lose your right to cancel once it has begun. Once you have given that confirmation and the service has begun, you can no longer cancel in respect of the credits redeemed.
8.4 To cancel, tell us clearly by email to help@venturedocs.co.uk or by using the contact form on our website. You may use the model cancellation form in the Schedule to these terms, but you do not have to.
8.5 We will refund you within 14 days of the day you tell us you are cancelling, using the same payment method you used, unless you agree otherwise. We will not charge you a fee for the refund.
8.6 Business customers do not have a right to cancel and, except as required by law or set out in clause 9, credits bought by business customers are non-refundable.
9. If there is a problem with a document
9.1 If you are a consumer, you have legal rights in relation to digital content and services that are faulty, not as described or not provided with reasonable care and skill. Nothing in these terms affects those rights. Advice about your legal rights is available from Citizens Advice.
9.2 If a document is faulty or has not been provided in line with these terms, please contact us within a reasonable time. We will first offer to correct or regenerate it at no extra cost. If we cannot do so within a reasonable time or without significant inconvenience to you, we will reinstate the credits used for that document or, if you are a consumer and you are entitled to it, refund or reduce the price you paid for it.
9.3 A document is not faulty simply because it reflects inaccurate or incomplete information that you provided, or because you disagree with its style, structure or conclusions.
9.4 If you are a business customer, our sole obligation for a faulty document is, at our option, to correct or regenerate it, or to reinstate the credits used for it.
10. Ownership and use of documents
10.1 Once you have paid for a document, you own it, and you may use, edit, copy and share it as you choose, subject to clauses 5 and 6.
10.2 We, or our licensors, own all rights in our website, platform, software, templates, prompts, methods and other materials used to provide the services. You may not copy, reverse engineer or exploit them, other than through normal use of the services.
10.3 You grant us permission to use the information you provide, including interview recordings and transcripts, to provide the services to you, in line with our Privacy Policy.
10.4 Documents may include a “Prepared by VentureDocs” credit. You may remove it. Whether or not you remove it, you must not state or suggest that we have reviewed, verified, approved or endorsed any document or its content.
10.5 Because documents are generated by artificial intelligence, parts of a document may resemble content produced for other users. We do not guarantee that any document is unique.
11. Our liability
11.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
11.2 If you are a consumer:
(a) we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or our failing to use reasonable care and skill, but we are not responsible for loss or damage that is not foreseeable;
(b) we provide the services for your private use. If you use any document for a business, commercial or fundraising purpose, we are not liable to you for any loss of profit, loss of business, business interruption, loss of funding or loss of business opportunity;
(c) we are not responsible for loss or damage caused by information you provided being inaccurate or incomplete, or by your failure to review and verify a document before using or sharing it.
11.3 If you are a business customer:
(a) we exclude all implied conditions, warranties and terms to the fullest extent permitted by law;
(b) we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, funding, investment, business, opportunity, goodwill or anticipated savings, or for any indirect or consequential loss;
(c) our total liability to you in connection with these terms and the services is limited to the total amount you paid us in the 12 months before the event giving rise to the claim;
(d) you agree that you have not relied on any statement, representation or promise that is not set out in these terms.
11.4 We are not liable for any loss suffered by any person, other than you, who receives or relies on any document.
12. Indemnity (business customers only)
12.1 If you are a business customer, you will indemnify us against any losses, claims, costs and expenses (including reasonable legal fees) arising from any claim by a third party relating to a document you have used or shared, any information you provided, or your breach of these terms.
13. Availability of the services
13.1 We aim to keep the services available but do not guarantee that they will be uninterrupted or error free. We may suspend the services for maintenance, security or reasons outside our control.
13.2 We are not responsible for delays or failures caused by events outside our reasonable control. If such an event affects the services, we will tell you as soon as reasonably possible.
13.3 We may suspend or close your account if you materially breach these terms. If we close your account for a reason other than your breach, we will refund the price paid for any unexpired, unredeemed credits.
14. Personal data
14.1 We use your personal data, including interview recordings and transcripts, in line with our Privacy Policy, available on our website.
15. Complaints
15.1 If you have a complaint, please contact us at help@venturedocs.co.uk or by using the contact form on our website, giving as much detail as you can.
15.2 We will acknowledge your complaint within 5 working days and aim to give you a full response within 30 days.
16. Changes to these terms
16.1 We may update these terms from time to time. The version that applies to a purchase is the version in force at the time of that purchase.
16.2 Changes will not apply retrospectively to credits you have already bought, unless the change is required by law or is in your favour.
17. General
17.1 If any part of these terms is found to be invalid or unenforceable, the rest of these terms will continue to apply.
17.2 If we delay or do not enforce any of our rights, we have not waived them.
17.3 We may transfer our rights and obligations under these terms to another organisation. You may not transfer your rights or obligations without our written consent.
17.4 No person other than you and us has any right to enforce these terms.
17.5 If you are a business customer, these terms are the entire agreement between us in relation to their subject matter.
18. Governing law and jurisdiction
18.1 These terms are governed by the law of England and Wales.
18.2 If you are a business customer, the courts of England and Wales have exclusive jurisdiction.
18.3 If you are a consumer, you may bring proceedings in the courts of England and Wales. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
